A.I. AGENCY INSIDERS™ FAIR USE & WHITE LABEL CLIENT SERVICE FULFILLMENT POLICY

Effective Date: January 20th, 2023

Last Updated: January 20th, 2023

This Fair Use & White-Label Client Service Fulfillment Policy (“Fulfillment Policy”) governs the HighLevel subaccounts, implementation services, white-label client service fulfillment, technical support and related benefits provided through A.I. Agency Insiders™.

This Fulfillment Policy supplements and is incorporated into the A.I. Agency Insiders Terms of Service, Membership Agreement, Client Launch Rate Terms, Privacy Policy and any other applicable policies published by A.I. Agency Insiders, referred to in this policy as “A.I. Agency Insiders,” “we,” “us” or “our.”

By joining A.I. Agency Insiders, requesting a HighLevel subaccount, submitting a fulfillment request or using any included service, the member agrees to this Fulfillment Policy.

If this Fulfillment Policy conflicts with a service-specific written scope provided for an individual fulfillment request, the service-specific scope controls for that request.

---

1. PURPOSE OF THIS POLICY

A.I. Agency Insiders is designed to help agency owners, freelancers and local small business consultants sell and deliver A.I.-powered and HighLevel-based services without personally building every website, funnel, workflow, automation and technical system themselves.

The purpose of this policy is to:

* Explain what “unlimited” means;

* Define eligible white-label fulfillment services;

* Establish fair and reasonable usage standards;

* Protect fulfillment quality and turnaround times;

* Explain member and client responsibilities;

* Identify usage-based and third-party costs;

* Prevent abuse, resale and unauthorized platform access; and

* Provide a clear process for submitting, reviewing and completing fulfillment requests.

---

2. DEFINITIONS

2.1 Member

A “Member” is the individual or business that maintains an active, paid A.I. Agency Insiders membership in good standing.

2.2 Member Client

A “Member Client” is a legitimate business or organization that has engaged the Member to provide agency, consulting, A.I., automation, HighLevel, website, marketing or related business services.

The Member Client remains the Member’s client. A.I. Agency Insiders does not receive a percentage of the Member’s client revenue and does not become a party to the Member’s client agreement unless separately agreed in writing.

2.3 Eligible Service

An “Eligible Service” is a service currently identified in the A.I. Agency Insiders White-Label Fulfillment Menu, member portal or applicable service description as eligible for included fulfillment.

2.4 Fulfillment Request

A “Fulfillment Request” is a properly submitted request for setup, installation, customization, configuration or implementation of an Eligible Service for the Member or a legitimate Member Client.

2.5 Production Account

A “Production Account” is a HighLevel subaccount, website, funnel, workflow, automation, A.I. system or related asset intended for actual commercial use by the Member or a Member Client.

2.6 Demonstration Account

A “Demonstration Account” is an approved temporary account used to demonstrate a service to prospects, test an implementation or train the Member. It may not be used to conceal a paying client or operate an active client business without being converted to a Production Account.

2.7 Pass-Through Cost

A “Pass-Through Cost” is a usage-based, metered, licensed or third-party expense that is not included in the base membership fee and is charged to the Member, the Member Client or the applicable subaccount.

---

3. WHAT “UNLIMITED” MEANS

“Unlimited” means that an active Member does not have a preset lifetime or annual numerical cap on:

* The number of legitimate Member Clients the Member may serve;

* The number of eligible HighLevel client subaccounts the Member may request; or

* The number of Eligible Service fulfillment requests the Member may submit over time.

The Member is not charged an additional A.I. Agency Insiders membership fee solely because the Member adds another legitimate client or submits another eligible request.

However, “unlimited” does not mean:

* Unlimited simultaneous production;

* Instant completion;

* Unlimited custom development;

* Unlimited revisions;

* Unlimited storage, telephony, messaging or A.I. usage;

* Unlimited third-party licenses;

* Unrestricted use outside the published service scope;

* The right to monopolize fulfillment capacity;

* The right to create speculative or unused accounts in bulk; or

* The right to resell raw platform or fulfillment access to other agencies.

All services remain subject to this Fulfillment Policy, the current Fulfillment Menu, available capacity, required information, reasonable turnaround times, fair use, platform limitations and applicable third-party charges.

---

4. ACTIVE-MEMBERSHIP REQUIREMENT

HighLevel subaccount access, included fulfillment services, support, templates, workflows, websites, funnels, proprietary Engines and related membership benefits are available only while the Member’s A.I. Agency Insiders membership is active and in good standing.

A membership is not in good standing when:

* A membership payment is overdue, declined or disputed;

* Required Pass-Through Costs remain unpaid;

* The Member has materially violated this policy;

* The Member has provided false or misleading information;

* The Member has engaged in abusive, fraudulent or unlawful activity; or

* The membership has been suspended or terminated.

If a membership becomes inactive or delinquent, we may:

* Stop accepting new Fulfillment Requests;

* Pause work already in production;

* Suspend support or platform access;

* Disable nonessential workflows or services;

* Require subaccounts to be transferred or migrated;

* Require payment of outstanding balances before releasing assets; or

* Take other reasonable steps permitted by the applicable membership agreement.

Cancellation does not eliminate outstanding usage charges, third-party costs, approved out-of-scope charges or other amounts already incurred.

---

5. ELIGIBLE WHITE-LABEL FULFILLMENT SERVICES

---

7. MEMBER RESPONSIBILITIES

The Member remains responsible for:

* Finding and acquiring clients;

* Deciding what services to offer;

* Setting prices;

* Making accurate sales representations;

* Establishing client agreements;

* Collecting client payments;

* Managing the client relationship;

* Obtaining all required client approvals;

* Providing complete and accurate project information;

* Supplying branding, copy, images and other required assets;

* Ensuring the Member and Member Client have the right to use submitted materials;

* Reviewing completed work;

* Testing the service before client launch;

* Obtaining legally required communication and marketing consent;

* Handling client support unless otherwise agreed;

* Monitoring client campaigns and performance;

* Paying applicable usage and third-party costs; and

* Ensuring that the Member Client follows all applicable laws and platform policies.

A.I. Agency Insiders is not responsible for promises the Member makes beyond the published scope of an Eligible Service.

The Member may not sell a custom feature, integration, outcome or deadline as included fulfillment unless we have confirmed the scope in writing.

---

8. CLIENT INFORMATION AND REQUIRED MATERIALS

Fulfillment begins only after the Member submits all required information, assets, access and approvals.

Required materials may include:

* Client business name and contact information;

* Service purchased;

* Completed onboarding questionnaire;

* Client logo and brand assets;

* Approved copy or offer information;

* Domain information;

* Calendar and scheduling requirements;

* Phone-number requirements;

* Email-sending information;

* Workflow details;

* User permissions;

* Integration credentials;

* Privacy-policy and terms links;

* Messaging-consent language;

* Payment or product information;

* Client approvals; and

* Other information reasonably required for the service.

A request is not considered ready for production while required information is incomplete, inaccurate or inaccessible.

Turnaround estimates do not begin until the request is marked “Ready for Production.”

---

9. FULFILLMENT REQUEST PROCESS

Fulfillment Requests must be submitted through the designated:

* Member portal;

* C.A.R.E. onboarding process;

* Fulfillment-request form;

* Support system; or

* Other approved submission method.

Requests submitted through personal text messages, social-media messages, unapproved email addresses or informal conversations may not enter the production queue.

Each request must clearly identify whether it is for:

* Internal agency use;

* A demonstration or test;

* An unpaid pilot; or

* A production paying client.

We may request additional information before accepting a project.

A request is accepted only when it has been reviewed and assigned an accepted, queued or in-production status.

Submitting a request does not guarantee that every requested feature is included.

---

10. FULFILLMENT QUEUE AND CONCURRENT WORK

Members may submit eligible requests as legitimate client needs arise.

To protect quality and provide reasonable access to all Members:

* Projects are scheduled according to readiness, scope, complexity, priority and available capacity;

* Fulfillment is generally completed in a queue;

* We may limit how many major projects are actively in production for one Member at a time;

* Additional requests may remain queued until active work reaches an appropriate stage;

* Small updates may be completed alongside a larger project at our discretion;

* Rush production is not included unless expressly approved; and

* One Member may not reserve a disproportionate share of fulfillment capacity.

As a general operating standard, we may keep one primary build per Member in active production while additional major builds wait in the queue. We may adjust this standard based on complexity, available resources, membership level and current demand.

An “unlimited” benefit refers to the Member’s ability to continue submitting legitimate eligible projects over time. It does not guarantee unlimited throughput or simultaneous production.

---

11. TURNAROUND TIMES

Turnaround times are estimates, not guaranteed completion deadlines.

Estimated turnaround depends on:

* The Eligible Service requested;

* The complexity of the implementation;

* The completeness of submitted information;

* The number of pages, workflows or assets involved;

* Required third-party approvals;

* Platform availability;

* Client or Member response time;

* Requested revisions;

* The current fulfillment queue; and

* Events outside our reasonable control.

The current Fulfillment Menu may provide estimated turnaround ranges for individual services.

A turnaround period begins when:

1. The request has been accepted;

2. All required information and access have been received;

3. Any applicable Pass-Through Costs or approved additional fees have been paid; and

4. The request is marked Ready for Production.

The turnaround period pauses whenever:

* Required information is missing;

* The Member or Member Client must approve something;

* Access credentials do not work;

* Third-party verification is pending;

* A platform is unavailable;

* The scope changes;

* An invoice remains unpaid; or

* The project is otherwise blocked by an issue outside our control.

We are not responsible for Member promises of a delivery date that we did not approve in writing.

---

12. REVISIONS

Each Eligible Service includes the revision allowance stated in its current service description or Fulfillment Menu.

Unless a different allowance is specified, fulfillment generally includes:

* Correction of implementation errors;

* Reasonable adjustments necessary to match the approved request; and

* One consolidated revision round submitted within seven calendar days after delivery for review.

A revision round means one organized list of requested changes submitted together.

Revisions do not include:

* A complete redesign;

* A new offer or business direction;

* Replacement of previously approved copy;

* New pages or workflows;

* New integrations;

* New services;

* Changes caused by incomplete original instructions;

* Changes requested after approval and launch;

* Rebuilding work altered by the Member or a third party; or

* Work outside the original approved scope.

Additional or out-of-scope revisions may be declined, returned to the queue or offered for an additional fee.

Failure to submit revisions within the stated review period may cause the project to be considered accepted.

---

13. MEMBER AND CLIENT APPROVALS

The Member is responsible for reviewing:

* Names and contact information;

* Pricing and offer details;

* Website and funnel copy;

* Images and branding;

* Forms and required fields;

* Calendar availability;

* Email and SMS messages;

* Workflow timing;

* Links;

* Phone numbers;

* Privacy and legal disclosures;

* Payment settings; and

* All other client-facing information.

A project may not be launched until required approval has been received.

Approval may be provided through:

* The member portal;

* Email;

* Project-management software;

* A completed approval form; or

* Another documented method.

Once the Member approves a project for launch, later changes may be treated as a new request or revision.

A.I. Agency Insiders is not responsible for inaccuracies the Member approved or failed to identify during review.

---

14. HIGHLEVEL SUBACCOUNTS

Active Members may request HighLevel subaccounts for legitimate internal, demonstration and Member Client use, subject to fair use.

Each subaccount must represent:

* A legitimate Member Client;

* The Member’s own agency;

* A genuine approved demonstration;

* A legitimate test environment; or

* Another approved business use.

Subaccounts may not be:

* Created in bulk without a legitimate use;

* Left unused for extended periods solely to reserve capacity;

* Shared with unrelated agencies;

* Sold as independent access to A.I. Agency Insiders;

* Used to operate an unauthorized SaaS or fulfillment-resale business;

* Used for unlawful communications or prohibited industries;

* Used to impersonate another person or business;

* Used to bypass platform limitations; or

* Used in violation of HighLevel or third-party terms.

We may review inactive, duplicate or suspicious subaccounts and may require clarification, consolidation, migration or closure.

Requesting a Production Account for a paying client may confirm that the Member has reached the First-Client Milestone under the separate Client Launch Rate Terms.

---

15. HIGHLEVEL AND THIRD-PARTY USAGE COSTS

The membership fee does not include every expense generated through HighLevel or third-party services.

Pass-Through Costs may include:

* Local or toll-free phone numbers;

* Voice calls and call minutes;

* SMS and MMS messages;

* Carrier fees;

* Email sending;

* Email verification;

* A.I. conversation usage;

* A.I. voice usage;

* Transcription;

* Premium workflow actions;

* Data-enrichment services;

* Domain registration;

* Website hosting outside the included platform;

* Dedicated sending domains;

* Third-party applications;

* Marketplace applications;

* External integrations;

* Payment-processing fees;

* Custom phone or messaging registration;

* Regulatory registration fees; and

* Other usage-based or licensed services.

Depending on the account configuration, these costs may be:

* Charged to the Member;

* Charged to the applicable subaccount wallet;

* Recharged to the Member Client;

* Deducted from prepaid credits; or

* Invoiced separately.

The Member is responsible for maintaining adequate wallet balances and payment methods.

Services may pause automatically if required balances, licenses or payment methods are unavailable.

The Member may choose to incorporate these expenses into client pricing, but the Member is responsible for accurately explaining those charges to the client.

---

16. DOMAINS, PHONE NUMBERS AND THIRD-PARTY ASSETS

Unless specifically stated otherwise:

* Domains remain the property of the registered owner;

* Phone numbers are subject to carrier and platform rules;

* Third-party subscriptions are governed by the applicable provider;

* Porting or transferring phone numbers is not guaranteed;

* External licenses may require separate payment; and

* A.I. Agency Insiders does not control third-party approval decisions.

The Member must ensure that account names, billing details and ownership information are accurate.

Third-party delays, rejections, outages or policy changes may affect delivery and are outside our reasonable control.

---

17. COMMUNICATION AND MARKETING COMPLIANCE

The Member is responsible for ensuring that the Member and each Member Client comply with applicable laws, regulations and platform rules governing:

* Email marketing;

* SMS and MMS messaging;

* Telephone calls;

* Prerecorded or automated calls;

* A.I.-generated communications;

* Consent and opt-in requirements;

* Opt-out requests;

* Do-not-call requirements;

* Sender identification;

* Advertising claims;

* Consumer privacy; and

* Data collection and retention.

The Member must obtain all legally required permissions before activating communications.

We may decline, pause or disable any campaign, workflow or account that appears to involve:

* Purchased or scraped contact lists;

* Unsolicited messaging without appropriate consent;

* Misleading sender information;

* Prohibited message categories;

* Fraudulent or deceptive claims;

* Illegal products or services;

* Harassment;

* Impersonation;

* Abusive sending behavior; or

* Conduct that creates platform, carrier or legal risk.

A.I. Agency Insiders does not provide legal advice regarding whether a campaign complies with applicable law.

---

18. PROHIBITED USE

Members and Member Clients may not use A.I. Agency Insiders services to:

* Violate any law or regulation;

* Commit fraud or deception;

* Send unlawful spam;

* Harass or threaten others;

* Infringe intellectual-property rights;

* Distribute malware or malicious code;

* Obtain unauthorized access to accounts or data;

* Misrepresent identity or authorization;

* Create fake reviews or testimonials;

* Manipulate platform restrictions;

* Facilitate unlawful discrimination;

* Promote prohibited products or services;

* Process unlawfully acquired personal information;

* Generate deceptive deepfakes or impersonations;

* Interfere with platform security or availability;

* Resell raw membership access;

* Resell fulfillment access to another agency without written approval;

* Submit fake client projects;

* Create speculative subaccounts in bulk;

* Share Member login credentials with unauthorized users; or

* Use included resources to create a competing fulfillment membership or template library.

We may suspend or terminate access when prohibited use is suspected or confirmed.

---

19. FAIR-USE STANDARDS

Fair use means that the Member:

* Submits requests for genuine internal or client business needs;

* Provides complete and accurate information;

* Uses the required fulfillment process;

* Keeps requests within the applicable service scope;

* Avoids duplicate or speculative submissions;

* Consolidates feedback into organized revision requests;

* Responds promptly when information or approval is needed;

* Does not repeatedly abandon projects;

* Does not artificially split one large project into many smaller requests;

* Does not use the service as unlimited employee labor;

* Does not promise unsupported custom work to clients;

* Does not attempt to bypass queue, revision or scope limitations;

* Maintains professional communication;

* Pays usage-based and approved third-party expenses; and

* Uses the membership in a manner that does not materially impair service for other Members.

Usage may be considered excessive or abusive when it is materially inconsistent with the ordinary needs of a legitimate small agency or when it creates disproportionate technical, staffing or financial demands.

We will ordinarily attempt to discuss unusual usage with the Member before limiting service, unless immediate action is reasonably necessary to protect users, systems, legal compliance or service availability.

---

20. ABANDONED OR STALLED PROJECTS

A project may be marked stalled or abandoned when the Member does not provide required information, feedback or approval within:

* Fourteen calendar days after a request for information; or

* Another deadline stated in the applicable project communication.

A stalled project may be removed from active production and returned to the queue when the Member is ready to continue.

A project may be closed after thirty calendar days of inactivity.

Reopening an abandoned project may:

* Require updated information;

* Be treated as a new request;

* Be placed at the end of the current queue;

* Require payment of new third-party expenses; or

* Require a revised scope if platforms or requirements have changed.

---

21. QUALITY STANDARDS AND CORRECTION OF ERRORS

We will use commercially reasonable efforts to perform accepted fulfillment services according to the approved scope.

If the Member believes an implementation error has occurred, the Member must notify us within seven calendar days after delivery or discovery.

An implementation error is a failure of the delivered work to materially match the accepted scope.

When an implementation error is confirmed, our primary obligation will be to correct the affected work within a reasonable period.

Implementation errors do not include:

* Third-party platform failures;

* Changes made after delivery;

* Member or client misuse;

* Incorrect information supplied by the Member;

* Unapproved scope changes;

* Performance below an expected marketing result;

* Client preference changes; or

* Features the applicable platform does not support.

---

22. NO PERFORMANCE GUARANTEE

Fulfillment provides systems, assets and technical implementation.

We do not guarantee:

* Leads;

* Appointments;

* Sales;

* Clients;

* Conversion rates;

* Reviews;

* Search rankings;

* Revenue;

* Profit;

* Return on investment;

* Platform approval;

* Message delivery;

* Uptime;

* A.I. accuracy;

* Client satisfaction; or

* Any specific business outcome.

Performance depends on factors outside our control, including the Member’s offer, market, pricing, sales ability, client data, traffic, implementation, follow-up, advertising, reputation and business operations.

The Member must not represent to clients that A.I. Agency Insiders guarantees any specific result.

---

23. WHITE-LABEL RELATIONSHIP

Eligible fulfillment may be delivered behind the scenes so the Member can remain the primary client-facing provider.

Unless otherwise agreed:

* The Member owns and manages the client relationship;

* The Member determines what to charge;

* The Member invoices and collects from the client;

* The Member provides first-level client communication;

* The Member is responsible for all promises made to the client;

* A.I. Agency Insiders may communicate with the client when authorized or operationally necessary;

* A.I. Agency Insiders does not become the client’s agency of record; and

* A.I. Agency Insiders does not take a percentage of the Member’s client revenue.

The Member may not falsely represent that work was personally performed by the Member if such a representation would violate a law, client agreement or professional obligation.

---

24. CONFIDENTIALITY AND CLIENT ACCESS

We will use commercially reasonable measures to limit access to Member Client information to individuals and providers involved in delivering or supporting the requested service.

The Member authorizes us and our contractors, fulfillment partners and technology providers to access the information reasonably necessary to perform the requested work.

The Member is responsible for:

* Obtaining any required client permission;

* Providing access through secure methods;

* Removing access when no longer needed;

* Avoiding transmission of unnecessary sensitive data; and

* Informing us if an account may have been compromised.

Members should not send:

* Full payment-card information;

* Bank passwords;

* Social Security numbers;

* Unnecessary medical information;

* Unnecessary government identification;

* Highly sensitive personal information; or

* Other data not required for fulfillment.

---

25. INTELLECTUAL PROPERTY

The Member or Member Client retains ownership of original logos, trademarks, copy, images and other materials they provide.

Upon full payment of all applicable amounts, the Member generally receives the right to use completed client-specific deliverables for the applicable Member Client.

A.I. Agency Insiders retains ownership of:

* Proprietary frameworks;

* Service Engines;

* Snapshots;

* Templates;

* Reusable workflows;

* Prompt systems;

* Training materials;

* Standard operating procedures;

* Internal methods;

* Software;

* Preexisting intellectual property; and

* Improvements that are not unique confidential materials of the Member Client.

Membership grants a limited, revocable right to use included proprietary resources for the Member’s legitimate agency and client-service activities.

The Member may not extract, republish, sell, sublicense or distribute proprietary resources as standalone products or as part of a competing membership, template vault or fulfillment service.

---

26. CHANGES TO SERVICES AND THE FULFILLMENT MENU

Technology platforms, A.I. tools, third-party services and fulfillment requirements change over time.

We may:

* Add or remove Eligible Services;

* Modify service scopes;

* Replace discontinued tools;

* Change workflows;

* Update estimated turnaround times;

* Change supported integrations;

* Modify revision allowances;

* Impose reasonable technical limits;

* Require updated onboarding information; or

* Retire services that are no longer reliable, lawful or commercially practical.

Material changes will be communicated as required by the applicable membership agreement and law.

A service’s prior inclusion does not guarantee permanent availability.

---

27. PAUSING OR LIMITING FULFILLMENT

We may pause, defer, limit or decline fulfillment when:

* The membership is not active or in good standing;

* Required information is missing;

* The request is outside scope;

* The request violates law or platform policy;

* The request creates unreasonable security or compliance risk;

* The Member has unpaid charges;

* The Member has exceeded reasonable concurrent capacity;

* The Member repeatedly submits abandoned or duplicate work;

* The Member is abusive toward staff or contractors;

* A third-party platform is unavailable;

* A force-majeure event affects operations; or

* The request would materially impair service for other Members.

When practical, we will explain what is required to resume service.

---

28. POLICY VIOLATIONS

Depending on the nature and severity of a violation, we may:

1. Provide a warning;

2. Request corrective action;

3. Require additional documentation;

4. Return a project for resubmission;

5. Move excessive requests into a managed queue;

6. Limit concurrent projects;

7. Decline out-of-scope work;

8. Charge an approved additional fee;

9. Pause fulfillment;

10. Suspend platform or subaccount access;

11. Require migration of client accounts;

12. Terminate the membership; or

13. Take other action permitted by the membership agreement or law.

Serious fraud, unlawful activity, security threats, intentional platform abuse or repeated material violations may result in immediate suspension or termination.

---

29. CANCELLATION, TRANSFER AND CLIENT CONTINUITY

When a Member cancels or the membership ends:

* New fulfillment requests will not be accepted;

* Incomplete work may be paused or closed;

* Included support and maintenance end;

* HighLevel subaccounts may need to be transferred, migrated or placed on another paid plan;

* Third-party services may require new billing arrangements;

* Usage charges remain payable;

* Proprietary membership resources may no longer be accessible; and

* Continued hosting or service operation is not guaranteed unless a separate arrangement is established.

The Member is responsible for planning client continuity before cancellation.

Account transfers may require:

* Payment of all outstanding amounts;

* Completion of required transfer forms;

* Cooperation from the receiving platform or agency;

* Removal of proprietary assets not licensed for transfer;

* Payment of third-party or administrative fees; and

* A reasonable processing period.

We do not guarantee that every workflow, number, integration, A.I. feature or third-party asset can be transferred.

---

30. RELATIONSHIP TO THE CLIENT LAUNCH RATE

Submission of a Production Account, C.A.R.E. onboarding request, Client Service Engine installation or white-label fulfillment request for a paying client may confirm that the Member has reached the First-Client Milestone under the A.I. Agency Insiders Client Launch Rate Terms.

Members enrolled at the Client Launch Rate must accurately identify paying-client requests and report their first qualifying client as required by those terms.

Misclassifying a paying-client project as a demonstration, internal project or unpaid pilot may constitute a violation of both policies.

---

31. LIMITATION OF FULFILLMENT OBLIGATION

Our obligation is limited to performing accepted Eligible Services according to the applicable written scope and this policy.

We are not obligated to:

* Perform every service a Member sells;

* Match promises made without our approval;

* Meet deadlines we did not approve;

* Support unsupported third-party systems;

* Continue services that become unlawful or technically impractical;

* Provide unlimited custom labor;

* Replace the Member’s sales, strategy or client-management responsibilities; or

* Continue work after the membership or required third-party services end.

Any additional warranties, liability limitations, indemnification obligations and dispute-resolution terms are governed by the A.I. Agency Insiders Terms of Service.

---

32. CHANGES TO THIS POLICY

We may update this policy to reflect:

* Changes to the membership;

* New or discontinued services;

* Platform changes;

* Security requirements;

* Legal or regulatory developments;

* Updated fulfillment capacity; or

* Operational improvements.

Material changes will apply prospectively unless otherwise required by law or agreed by the Member.

Continued use of fulfillment services after the effective date of an updated policy constitutes acceptance where permitted by law.

---

33. HIGHLEVEL SUB-ACCOUNTS AFTER MEMBERSHIP CANCELLATION

As an active A.I. Agency Insiders member, you may receive access to one or more HighLevel sub-accounts at the special member rate of $1.00 per year, per HighLevel sub-account, subject to the applicable A.I. Agency Insiders membership terms, Fair Use & Fulfillment Policy, and any other applicable policies.

The $1.00-per-year HighLevel sub-account rate is an active-member benefit only and is available only while your qualifying A.I. Agency Insiders membership remains active and in good standing.

What Happens If You Cancel A.I. Agency Insiders

If you cancel, terminate, or otherwise allow your A.I. Agency Insiders membership to expire, your HighLevel sub-accounts will NOT automatically be canceled or deleted with your membership.

Instead, each active HighLevel sub-account associated with your membership will automatically be converted from the special $1.00-per-year member rate to $97.00 per month, per HighLevel sub-account, beginning upon the effective termination or expiration of your A.I. Agency Insiders membership.

This conversion is designed to allow you to maintain access to your HighLevel account, websites, funnels, contacts, conversations, automations, workflows, calendars, pipelines, forms, data, configurations, and other information contained within the applicable sub-account rather than having the sub-account immediately deleted when your membership ends.

By accepting these Terms and maintaining a HighLevel sub-account through A.I. Agency Insiders, you expressly acknowledge and agree that:

The $1/year rate is conditional upon an active A.I. Agency Insiders membership.

Canceling your A.I. Agency Insiders membership does not cancel your individual HighLevel sub-accounts.

Upon termination or expiration of your A.I. Agency Insiders membership, each active HighLevel sub-account will automatically continue at $97.00 per month, per sub-account, unless and until you separately cancel that specific HighLevel sub-account.

You authorize us to charge the payment method on file $97.00 per month for each HighLevel sub-account you choose to maintain following termination of your A.I. Agency Insiders membership.

If you do not wish to continue paying for a particular HighLevel sub-account, you must explicitly request cancellation of that individual HighLevel sub-account.

Canceling one HighLevel sub-account does not automatically cancel any other HighLevel sub-accounts associated with your account. Each sub-account must be canceled individually.

IMPORTANT: CANCELLATION OF A HIGHLEVEL SUB-ACCOUNT RESULTS IN DELETION

If you request cancellation of a HighLevel sub-account, you acknowledge and agree that the entire applicable HighLevel sub-account may be permanently deleted, including the data and assets contained within it.

This may include, without limitation:

Contacts and customer records

Leads and opportunities

Conversations and communication history

Websites and landing pages

Funnels

Forms and surveys

Calendars and appointments

Pipelines

Workflows and automations

Campaigns

Custom fields

Templates

Configuration settings

Reporting information

Files and other account data

Cancellation of a HighLevel sub-account should therefore be treated as a request to permanently discontinue and delete that sub-account.

You are solely responsible for exporting, downloading, transferring, copying, or otherwise preserving any information or assets you wish to retain before requesting cancellation of the applicable HighLevel sub-account.

We are not responsible for restoring data, assets, configurations, automations, contacts, or other information after a HighLevel sub-account has been canceled or deleted.

You Must Cancel Each Sub-Account Separately

If you have multiple HighLevel sub-accounts, you must specifically identify each sub-account you wish to cancel.

For example, if you have five HighLevel sub-accounts when your A.I. Agency Insiders membership ends and you cancel only two of those sub-accounts, the remaining three sub-accounts will continue at $97.00 per month each until separately canceled.

Termination of your A.I. Agency Insiders membership alone does not constitute notice that you wish to delete your HighLevel sub-accounts.

This policy exists so that canceling your membership does not unintentionally cause the immediate loss of valuable client, prospect, business, website, funnel, automation, or account data stored inside your HighLevel sub-accounts.

Your Responsibility Before Canceling

Before canceling your A.I. Agency Insiders membership, you are responsible for determining whether you wish to:

Option 1 — Keep Your HighLevel Sub-Accounts

Allow the applicable sub-accounts to remain active at $97.00 per month, per HighLevel sub-account, thereby maintaining continued access to the applicable accounts and their data.

OR

Option 2 — Cancel Your HighLevel Sub-Accounts

Explicitly request cancellation of each HighLevel sub-account you no longer wish to maintain and export, transfer, or otherwise preserve any data or assets you wish to retain before cancellation.

By accepting these Terms, you acknowledge that you understand the distinction between canceling your A.I. Agency Insiders membership and canceling an individual HighLevel sub-account, and you agree that these are separate cancellation actions with separate consequences.
